By signing our Service Agreement or making an advance payment, you agree to these Terms in full. We’ve written these in plain language because transparency matters.

These Terms & Conditions govern our working relationship. We’ve structured them to be clear, fair, and easy to understand. No legal jargon traps.

3. Your Role in the Partnership

We build it. You fuel it.

The best websites happen when we work together. Here’s what we need from you to deliver excellence:

3.1 Content & Materials

You provide the ingredients, we cook the meal:

  • ✓ All content – text, images, videos, logos, product details
  • ✓ On time – typically 2-3 days after Discovery Session
  • ✓ Usable format – high-resolution images, editable text
  • ✓ Legal rights – you own or have permission to use everything

⏱️ Late content = Extended timeline. We can’t build without the pieces.

3.2 Timely Feedback

Projects move at the speed of feedback:

  • → Attend Discovery and Review sessions (we schedule around you)
  • → Provide consolidated feedback within 5 business days
  • → Respond to our queries within 48-72 hours
  • → Review and approve final work before launch

Late feedback may trigger our Review Policy penalties (we’d hate to charge you, so please respond on time).

3.3 Technical Access

If you already have these, share access:

  • → Domain registrar login
  • → Hosting credentials
  • → Existing website access
  • → Third-party integrations

3.4 Accuracy & Legality

You’re responsible for:

  • → Accuracy of your info
  • → Industry compliance
  • → Business licenses
  • → Truthful claims

Bottom line: Give us what we need when we need it, and we’ll deliver on time. Simple as that.

4. Payment Terms

⚠️ 4.4 Late Payment Policy

We hate charging penalties, but fairness requires boundaries:

Days 1-7: No penalty, but project paused

Days 8-14: ₹500/day late fee

Days 15+: ₹1,000/day + legal action

Project begins ONLY after advance payment is confirmed. Timeline starts from payment date + Discovery Session completion.

✗ 4.6 When Work Stops

No payment = no work. We’ll suspend, withhold files, and won’t launch until full payment. Fair is fair.

5.2 When Timeline Extends

We’ll deliver on time IF you deliver on time. Timeline extends due to:

  • ! Late content/materials from your side
  • ! Late feedback or delayed approvals
  • ! Scope changes or additional requests mid-project
  • ! Technical issues with third-party services
  • ! Force majeure events (pandemics, natural disasters, etc.)

5.3 Our Commitment to You

If WE cause delay without valid reason:

  • ✓ We continue work at no additional cost
  • ✓ No timeline penalty charged to you
  • ✓ Project completed as soon as reasonably possible

6. Revisions & Modifications

Unlimited revisions until you’re 100% satisfied.

We don’t believe in “3 revisions only” limits. We’ll revise until it’s right. Here’s how it works:

We offer unlimited design and content revisions until you’re 100% satisfied, provided:

  • ✓ Revisions are within original project scope
  • ✓ Changes are reasonable and in good faith
  • ✓ Original package deliverables remain the same

7. Intellectual Property Rights

7.1 Ownership After Full Payment

Once you pay 100%, you own:

  • ✓ Custom graphics created specifically for you
  • ✓ Content we wrote for your website
  • ✓ All source files and documentation

7.2 Before Full Payment

Until final payment is received:

  • ! We retain all intellectual property rights
  • ! Website remains our property
  • ! No license to use, modify, or distribute

7.3 Third-Party Components

Some components remain property of third parties (under their respective licenses):

7.4 Our Portfolio Rights

We reserve the right to:

  • → Use as case study in marketing
  • → Reference as client (unless you request anonymity)

7.5 Your Content Ownership

You retain ownership of:

  • ✓ Content you provide (text, images, videos)

10. Ongoing Costs (Year 2 Onwards)

Self-managed: ₹3-4K/year

Move elsewhere: ₹2K migration

10.3 We Remind You

30 days before expiry:
✓ Domain renewal
✓ Hosting renewal
✓ SSL certificate

⚠️ If domain/hosting expires, your website goes down. This is YOUR responsibility to renew.

11. Limitation of Liability

Our liability cap: Maximum we can be held liable for = total amount you paid for the project.

We’re NOT Liable For:

  • ✗ Loss of business, revenue, or profits
  • ✗ Data loss (maintain your own backups)
  • ✗ Third-party service failures
  • ✗ Hacking/security breaches after handover
  • ✗ Content accuracy or legal compliance
  • ✗ Copyright infringement from your content

You agree to indemnify us from claims arising from content you provide. See our Privacy Policy for data handling.

12. Confidentiality

We Keep Confidential

Exceptions

We may disclose with your permission, if required by law, to our team (under confidentiality), or to service providers.

13. Termination

You Can Terminate

Before Discovery: Refund available

After Discovery, before dev: Partial refund

After dev starts: No refund, but you get completed work

We Can Terminate If

Late payment (15+ days), no content/feedback (30+ days), abusive behavior, or impossible project scope.

⚠️ We may permanently block you from all services if you: misbehave/abuse team members, engage in illegal activity, or repeatedly violate Terms.
